An overlay is when the production studio translating the anime removes the 
Japanese text from the actual video, and replaces it with English text.

This is bad because you lose the original footage from the series, and often 
the replacement English text looks out of place, or is badly done.

Subtitles can be used to translate just as well, and can be turned off on 
DVD.

However, we don't know what will be overlaid, (Just the telop?) or is 
alternate angles will be used on the DVDs so that you can choose between the 
footage.
